Article 1. Applicability

1.1 To all offers, orders and agreements of Mirasound, for example, these General Terms and Conditions of Sale (hereinafter: Terms and Conditions) apply to the exclusion of any other general terms and conditions. These Terms and Conditions have been filed with the Chamber of Commerce in Amersfoort.

1.2 Accepting an offer or placing an order means that you accept the applicability of these Terms and Conditions.

Article 2. Offers / agreements

2.1 All offers from Mirasound bv are without obligation and Mirasound bv explicitly reserves the right to change prices, see also article 3.4.

2.2 An agreement is only concluded after acceptance of your order by Mirasound bv. Mirasound bv is entitled to refuse orders with motivation or to attach special conditions to the delivery, unless explicitly stated otherwise. If an order is not accepted, Mirasound bv will communicate this within ten (10) working days after receiving the order.

2.3 You are entitled to a cooling-off period of 14 days. You can return the ordered item or part of it, provided the item has not been opened (in the original packaging and remains sealed). A refund period of a maximum of 30 days applies to returns.

Article 3. Prices and payments

3.1 The prices for the products and services offered are in euros, including VAT and excluding handling and shipping costs.

3.2 Payment must be made without discount or compensation as indicated during the ordering process. Cash on delivery or On account is unfortunately not possible, unless otherwise agreed in writing.

3.3 When specifying bank or credit card details that are irrecoverable or if the payment term is exceeded, you will be in default from the day that payment should have been made and from that day you will owe default interest of 1% per month or part of a month about the outstanding amount. If payment takes place after a reminder by Mirasound bv you owe an amount of twenty-two euros and sixty-nine eurocent (€ 22.69) in administration costs and if Mirasound bv outsources its claim for collection, you also owe the collection costs, which are at least fifteen percent (15 percent). %) of the outstanding amount, without prejudice to the authority of Mirasound bv to claim the actually incurred extrajudicial collection costs instead.

3.4 If the prices for the offered products and services increase in the period between the order and the execution thereof, you are entitled to cancel the order or to dissolve the agreement within ten (10) days after notification of the price increase.

Article 4. Delivery

4.1 Delivery by Mirasound bv takes place with due speed, but at least within thirty (30) days after the order, unless otherwise indicated by Mirasound bv. If delivery does not take place on time, you will receive a message within 1 month after placing the order and you have the right to terminate the agreement free of charge by giving written notice to Mirasound bv. Exceeding the delivery time does not entitle you to compensation.

4.2 Delivery takes place at the moment that the product is received by (or on behalf of) you.

Article 5. Retention of title

5.1 The ownership of delivered products will only transfer if you have paid everything you owe to Mirasound bv on the basis of any agreement. The risk with regard to the products is transferred to you at the time of delivery.

Article 6. Intellectual and industrial property rights

6.1 You must fully and unconditionally respect all intellectual and industrial property rights that rest on the products delivered by Mirasound bv.

6.2 Mirasound bv does not guarantee that the products delivered to you do not infringe any (unwritten) intellectual and / or industrial property rights of third parties.

Article 7. Complaints and liability

7.1 You have the obligation to inspect the delivered products immediately upon receipt. You must report any defects that have been found to Mirasound bv in writing within two (2) weeks after discovery at the latest.

7.2 If it has been demonstrated that the products do not comply with the agreement, Mirasound bv has the choice to replace the products in question with new products or the invoice price plus shipping costs paid on return.

Article 8. Orders / communication

8.1 For misunderstanding, mutilation, delays or improper transmission of orders and communications as a result of the use of the internet or any other means of communication in traffic between you and Mirasound bv, or between Mirasound bv and third parties, insofar as it relates to the relationship between you and Mirasound bv, Mirasound bv is not liable unless and insofar as there has been intent or gross negligence on the part of Mirasound bv.

Article 9. Force majeure

9.1 Without prejudice to the other rights vested in it, in the event of force majeure, Mirasound bv has the right, at its option, to suspend the execution of your order or to dissolve the agreement without judicial intervention, by informing you in writing. parts and this without Mirasound bv being obliged to pay any compensation, unless this would be unacceptable by the standards of reasonableness and fairness in the given circumstances.

9.2 Force majeure is understood to mean any shortcoming that cannot be attributed to Mirasound bv, because it is not due to its fault and is not at the expense of the law, legal act or generally accepted views.

Article 10. Miscellaneous

10.1 If you provide Mirasound bv in writing with an address, Mirasound bv is entitled to send all orders to that address, unless you make a written statement to Mirasound bv from another address to which your orders must be sent.

10.2 If Mirasound bv allows deviations from these Terms and Conditions, whether or not tacitly for a short or longer period, this does not affect its right to demand immediate and strict compliance with these Terms and Conditions. You can never assert any right based on the fact that Mirasound bv flexibly applies these Terms and Conditions.

10.3 If one or more of the provisions of these Terms and Conditions or any other agreement with Mirasound bv should conflict with any applicable legal provision, the relevant provision will lapse and be replaced by a new legally permissible law to be established by Mirasound bv similar provision.

10.4 Mirasound bv is authorized to make use of third parties in the execution of your order(s).

Article 11. Applicable law and competent court

11.1 All rights, obligations, offers, orders and agreements to which these Terms and Conditions apply, as well as these Terms and Conditions, are exclusively governed by Dutch law.

11.2 All disputes between parties will be submitted exclusively to the competent court in the Netherlands.
